About Me
With more than a decade of experience, Hao Han’s areas of expertise include mergers & acquisitions (M&A), corporate restructuring, initial public offerings (IPOs), pre-IPO due diligence, venture capital investments and various capital market exercises (eg: rights issue with warrants, employee share option scheme (ESOS), capital reduction, private placement, related-party transaction (RPT), placement, etc).
Hao Han began his career at a Tier 1 Legal 500 law firm in Malaysia in 2013 where he attained extensive experience in various capital market exercises, ranging from IPOs, M&A, ESOS, selective capital reduction, take-over, etc.
In year 2017, he joined another Legal 500 law firm where he was promoted to a Senior Associate. Hao Han continued to specialise in capital market exercises, IPOs, M&A, corporate restructuring and corporate advisories.
He later joined a boutique Malaysian firm as a Partner and head of corporate and commercial practice. In 2025, Hao Han and Lim Kuan founded Han Kuan & Co. with the vision to empower their clients with strategic, practical and forward-thinking legal services and solutions.
Hao Han graduated from National University of Malaysia in 2013 with a Bachelor of Laws degree (Honours) and was called to the Malaysian Bar in 2014. Hao Han is fluent in English, Malay, Mandarin, Cantonese, and Hokkien.
Hao Han is regularly engaged by multinational corporations to advise on cross-border M&A.

Mergers and Acquisitions (M&A)

advising (the vendor) and drafting the transactional documents for the disposal of core operating subsidiaries specialises in logistic business by a public listed company at a total consideration of approximately RM85,000,000.

advising (the purchaser) and drafting the transactional documents for the acquisition of 55% equity interest in a company specialises in manufacturing rubber gloves at the purchase consideration of RM33,000,000.

advising (the purchaser) and drafting the transactional documents for the acquisition of the entire equity interest in a company specialises in the distribution of laboratory and portable systems and instrument for water testing and monitoring systems at the purchase consideration of approximately RM80,000,000.

Restructuring

advising and drafting the transactional documents for a restructuring exercise of a group of companies owned by an investment arm of a state government involving assets worth more than RM2billion.
Private Placement

advising and drafting the placement agreement for the private placement of shares by a public listed company specialises in property development and construction, raising proceeds of approximately RM147,000,000.
ESOS or LTIP

advising and drafting the by-laws for share grant scheme implemented by a public listed company with principal business of providing fintech solutions.
Rights Issue with Warrants

advising and drafting the deed poll in relation to the issuance of renounceable rights and warrants by a public listed company with principal business of providing fintech solutions, raising maximum proceeds of approximately RM60,000,000.
Take-over and Exemptions

submitting application to the Securities Commission Malaysia for the exemption from the obligation to launch a take-over offer.
Joint Venture and Real Estate

advising (the developer) on and drafting the joint venture agreement between a developer and a government-owned incorporation with an estimated minimum gross development value of RM598,000,000.

advising a local developer (the purchaser) on and drafting the sale and purchase agreement for the acquisition of a piece of land from a statutory body at the purchase consideration of approximately RM114,000,000.
